License terms

1. Definitions

“Dataset” means the golf course data licensed by Roundkeeper, including course records, tee sets, hole data, feature geometry, elevation samples, and pin locations.

“Licensee” means the individual or organization that purchases a license.

“Product” means the Licensee’s application, service, or device in which the Dataset is used.

2. License grant

Subject to payment of the applicable fees, Roundkeeper grants the Licensee a non-exclusive, non-transferable, worldwide license to store, process, and display the Dataset within the Licensee’s Product during the license term.

The license covers the full dataset for the term and includes updates published during that term.

3. Restrictions

The Licensee may not sell, sublicense, redistribute, or otherwise make the raw Dataset available to third parties, except as expressly permitted by an enterprise or redistribution license.

The Licensee may not use the Dataset to build a substantially similar competing dataset or directory for redistribution.

The Licensee may not remove or obscure proprietary notices contained in the Dataset.

4. Delivery, access, and updates

Roundkeeper delivers the Dataset as files and via API. Access credentials are issued to the purchaser and are the Licensee’s responsibility to keep secure.

Updates are published during the term and are versioned per record so changes can be tracked between releases.

5. Fees and term

The standard license fee is $2,500 per year, payable in advance. The term begins on the date access is provisioned and renews only if the Licensee renews.

Fees are exclusive of taxes. Access may be suspended for non-payment after written notice.

6. Attribution

Attribution is not required for the standard license. Where the Licensee wishes to credit the data, “Data by Roundkeeper” is appreciated.

7. Warranty disclaimer

The Dataset is provided “as is.” Roundkeeper does not warrant that the Dataset is complete, accurate, or error-free for every course, and disclaims all implied warranties to the maximum extent permitted by law.

8. Limitation of liability

To the maximum extent permitted by law, Roundkeeper’s total liability under this license is limited to the fees paid by the Licensee in the twelve months preceding the claim. Roundkeeper is not liable for indirect or consequential damages.

9. Termination

Either party may terminate for material breach that remains uncured after thirty (30) days’ written notice; non-payment is a material breach with a ten (10) day cure period. Either party may terminate immediately for infringement of the other’s intellectual property or breach of confidentiality.

On termination, the Licensee must stop using the Dataset and delete copies, except as required by law or as permitted by a surviving enterprise license, and may be asked to certify deletion.

10. Fees, taxes, refunds, and cancellation

Fees are quoted exclusive of taxes. The Licensee is responsible for any sales tax, VAT/GST, or duties, other than taxes on Roundkeeper’s net income. Where required, taxes are charged at checkout or on invoice.

Because the Dataset is digital content delivered immediately on purchase, and to the extent permitted by applicable law, fees are non-refundable once access has been provisioned. Statutory rights that cannot be waived are unaffected.

Where the licence is offered on a recurring basis, it renews for successive terms unless cancelled before the renewal date. Cancellation takes effect at the end of the then-current term; access continues until then.

11. Governing law and disputes

Pending final sign-off, these terms are intended to be governed by the laws of the jurisdiction in which the licensor entity is established, without regard to conflict-of-laws rules, and the parties submit to the exclusive jurisdiction of the courts of that place (or a mutually agreed arbitration seat).

12. Entity, data provenance, and non-affiliation

The Dataset is compiled by Roundkeeper from its own sources and, where applicable, licensors. Roundkeeper does not claim ownership of course names, club names, or trademarks, which remain the property of their respective owners. References to named courses are for identification only and do not imply any affiliation with, endorsement by, or sponsorship by those clubs or their owners.

Roundkeeper makes no warranty of non-infringement and does not grant rights in any third party’s trademarks or proprietary course designs.

13. Acceptance

By purchasing a licence, the Licensee accepts these terms. Where checkout presents a separate acknowledgement, that acknowledgement forms part of the agreement. The version of these terms in effect at purchase governs.
